These Terms & Conditions (“Terms”) set out the basis on which YourFlexExpert (“we”, “us”, “our”) introduces prospective clients (“Leads”) to workspace operators, landlords, and flexible space providers (“you”, “your”, “the Operator”).

By accepting a Lead, engaging with us, or entering into discussions with a referred client, you agree to these Terms.

1. Definitions

“Lead” – A prospective client introduced to you by Your Flex Expert Ltd trading as YourFlexExpert. “Introducer Fee” – The commission payable to YourFlexExpert when a Lead completes a qualifying agreement with you. “Qualifying Agreement” – Any licence, lease, membership, or workspace agreement entered into with a Lead introduced by us. “Operator” – The workspace provider, landlord, or organisation receiving the Lead. “Client” – The Lead who enters into a Qualifying Agreement with you. “Referral ” – A lead that a venue , operator or B2B professional refers to YourFlexExpert (See: Refer & Earn)

2. Scope of Service

YourFlexExpert acts solely as an introducer. We do not act as an agent, broker, or representative of the Operator or the Client. 

Our role includes:

• Listing your suitable spaces on our online directory 

• Lead generation 

• Identifying and qualifying workspace requirements

• Introducing Leads to suitable Operators

• Facilitating communication where appropriate

• Supporting the Client through the decision‑making process

We do not negotiate commercial terms on your behalf but may advise the Client on what’s reasonable, help them compare offers, support them with understanding terms and communicate with the operator, landlord or venue on their behalf (if asked).

3. Acceptance of Leads

A Lead is deemed accepted when:

• You acknowledge receipt of the introduction, or

• You contact the Lead directly, or

• You provide information, pricing, or availability to the Lead.

Once accepted, the Lead is registered to YourFlexExpert for a period of 6 months from the date of introduction.

If the Lead enters into any agreement with you within this period, commission is payable.

4. Commission & Payment Terms

4.1 Commission Structure

Unless otherwise agreed in writing, the standard Introducer Fee is:

• 10% of the total contract value (TCV) up to 12 months for office space, studios, light industrial, pop-up retail and private workspace agreements.

• If enhanced commission 15%+ are offered YourFlexExpert will feature your space  

• 75% of the first month licence fee for month to month coworking and virtual office memberships or 10% for 6-12 month terms 

• 8% of the total booking fee for meeting and event space introductions 

• For Direct Leads (Refer & Earn) to YourFlexExpert you can earn up to 20% of YourFlexExperts commission (See 4.5)

• For clarity for agreements longer than 12 months, commission is calculated on the first 12 paid months only, unless otherwise agreed.

4.2 When Commission Becomes Payable

Commission becomes payable when:

• A Lead introduced by us signs a Qualifying Agreement with you, and

• The Client takes occupation or the agreement becomes active.

4.3 Payment Terms

• Invoices are issued upon confirmation of the signed agreement.

• Payment is due within 30 days of invoice date.

• Late payments may incur interest at the statutory rate.

• For contracts less than 12 months but over 1 month, the Operator agrees to pay YourFlexExpert  monthly, quarterly or 6 monthly on the first 12 months paid rent as applicable. 

4.4 Renewals & Expansions

If the Client renews, expands, or takes additional space within 12 months of the original agreement, commission is payable on the additional value.

4.5 Refer & Earn Leads 

5. Lead Protection

A Lead introduced by YourFlexExpert is protected for 12 months from the date of introduction.

If the Lead:

• Signs a new agreement,

• Moves into a different space within your portfolio, or

• Returns within the protection period,

…commission remains payable.

If you believe a Lead is already known to you, please notify us within 48 hours of introduction.

6. Operator Responsibilities

If you accept or lead or have asked us to list your space you agree to:

• Provide accurate pricing, availability, and commercial terms

• Notify us promptly of viewings, proposals, and negotiations

• Inform us immediately when a Lead signs an agreement

• Provide a copy of the signed agreement or confirmation of terms (commercially sensitive details may be redacted)

• Pay commission within the agreed timeframe

You must not bypass or exclude YourFlexExpert from the process.

7. Confidentiality

Both parties agree to keep all Lead information, commercial terms, and communications confidential.

Data must be handled in accordance with UK GDPR and the Data Protection Act 2018.

8. Limitation of Liability

YourFlexExpert is not liable for:

• Loss of profits, revenue, or business

• Decisions made by the Client or Operator

• Accuracy of information provided by the Client

• Any indirect or consequential losses

Our total liability is limited to the amount of commission paid or payable for the relevant Lead.

9. Termination

Either party may terminate the relationship at any time by written notice. Termination does not affect:

• Commission owed for existing Leads

• Lead protection periods

• Agreements already signed or in negotiation

10. Governing Law

These Terms are governed by the laws of Scotland . Any disputes shall be resolved in the courts of Scotland.

11. Amendments

We may update these Terms from time to time. The latest version will always be available on our website or provided upon request.
